Joowal Terms of Service

The following terms of service (these "Terms of Service"), govern your access to and use of the Joowal website, including any content, functionality and services offered on or through https://joowal.com by Joowal PLT (LLP0020132-LGN)

Please read the Terms of Service carefully before you use the site. By using the site, opening an account or by clicking to accept or agree to the Terms of Service when this option is made available to you, you accept and agree, on behalf of yourself or on behalf of your employer or any other entity (if applicable), to be bound and abide by these Terms of Service, Joowal’s Community Standards, found here. You further acknowledge, you have read and understood our Privacy Policy, found here. If you do not want to agree to these Terms or the Privacy Policy, you must not access or use the site.

1. Representations and Warranties

The site is intended for use only by individuals who are at least 18 years old and legally capable of entering into binding agreements. If you are between the ages of 13 and 17, you may use the site only through an account owned by your parent or legal guardian, provided they grant appropriate permission. Individuals under the age of 13 are strictly prohibited from accessing the site or using Joowal’s services.

Access to and use of the site is restricted to users who are not subject to any economic sanctions or trade restrictions under Malaysian law or the laws of any other applicable jurisdiction.

By accessing or using the site, you confirm and warrant that you meet all the above eligibility requirements. If you do not meet these criteria, you are not authorized to use the site.

2. General Overview

2.1 Account Registration

Only registered users may buy and sell services on Joowal. By registering for an account, you agree to provide accurate, complete, and up-to-date information regarding your personal or business details and to update this information promptly if any changes occur. You must not create an account for fraudulent or misleading purposes. You are solely responsible for all activities conducted through your account and for maintaining the confidentiality and security of your password. Joowal shall not be held liable for any acts or omissions by you in connection with your account.

2.2 Service Pricing

Sellers on Joowal have sole discretion in setting their pricing for services. Services may be offered at a starting base price of MYR 10 or higher, depending on the Seller's preference.

2.3 Payment and Order Creation

Buyers are required to pay Joowal in advance to create an order. The payment will be held in escrow by Joowal until the service is completed and delivered. Upon successful delivery, funds will be transferred to the seller's account, where they can be withdrawn (see the Seller section for more details).

2.4 Order Fulfillment and Cancellations

Sellers are obligated to fulfill their orders as agreed. Sellers may not cancel orders frequently or without valid cause, as this can negatively impact their ratings and reviews.

2.5 Payment Methods

Users must not offer or accept payments outside of joowal.com. All transactions must occur through the platform to ensure security and compliance.

2.6 Rights to Delivered Work

When purchasing a service on Joowal, buyers are granted all rights to the delivered work unless the seller explicitly specifies otherwise in their service description or terms.

2.7 Joowal’s Marketing Rights

Joowal reserves the right to use any delivered work that has been published as part of a review for marketing and promotional purposes.

3. Sellers

3.1 Creating Services

Sellers can create service listings on Joowal, enabling buyers to purchase their offerings. Each service listing should clearly define the scope, deliverables, and pricing of the service to ensure transparency and smooth transactions.

3.2 Revenue and Earnings

For each service successfully completed, sellers earn 80% of the purchase price. The buyer’s payment includes:

Job cost: Set by the Seller.
Service fee: 10% of the job cost + 6 MYR (if the job cost is below 100 MYR).
Tax: Calculated based on applicable laws.

For example:
If a service is priced at 10 MYR, the total Buyer payment is 10 MYR + 1 MYR (10%) + 6 MYR + tax, and the Seller earns 8 MYR.

3.3 Service Listings and Removal

Joowal reserves the right to remove service listings or suspend users from the platform if they violate the Terms of Service or any other applicable policies.

3.4 Packages

Sellers can create service packages to offer multiple levels of service, allowing buyers to choose according to their needs:

Basic: Entry-level services with limited deliverables.
Standard: Enhanced service offerings with additional features or faster delivery.
Premium: Comprehensive services with the most features, priority delivery, or other premium benefits.

3.5 Payouts

Sellers can receive payouts under the following conditions:

Funds are available 7 days after project completion.
Sellers may opt for auto-withdrawal on the 1st of the month if their account balance is at least 50 MYR by the 25th of the previous month.
If the balance is below 50 MYR, auto-withdrawal will not be triggered.

3.6 Withdrawal Preferences

Sellers must set their withdrawal method in the settings menu. The selected withdrawal method at the time of payout will be used. For instance, if FPX is selected initially and later changed to PayPal on the last day of the month, the payout will use PayPal.

If no withdrawal method is set, sellers cannot enable auto-withdrawal or manually withdraw funds until a method is configured.

4. Buyers

4.1 Payment Policies

• Buyers may not offer or make direct payments to sellers using payment systems outside of the Joowal platform.
• When placing an order on Joowal, buyers must use funds obtained from legal sources that are unconnected to any unlawful or fraudulent activities.
• If buyers are asked to make payments outside of Joowal, they should report the incident immediately to hello@joowal.com.

5. Revisions and Late Deliveries

5.1 Revisions

• Sellers can determine the number of revisions they are willing to offer for an order.
  • If no revisions are allowed, the buyer cannot dispute the order once it has been marked as complete.
  • If revisions are offered (e.g., 5 revisions), the buyer can approve or reject the work up to the specified number of times. Once the revision limit is reached, no further disputes or revisions can be requested.

5.2 Late Deliveries

• If a seller fails to deliver the order by the agreed deadline, they will have a 24-hour grace period to complete and deliver the order.
• If the order remains incomplete and undelivered after the 24-hour period:
  • Joowal reserves the right to cancel the order.
  • This will negatively impact the seller’s ratings, resulting in an automatic one-star review and a platform-generated review indicating failure to deliver on time.

6. User Conduct and Protection

6.1 Expected User Conduct

Users are expected to adhere to Joowal’s Community Guidelines while interacting on the platform. This includes:

• Treating all users with respect, fairness, and professionalism.
• Avoiding abusive, discriminatory, harassing, or threatening language.
• Providing accurate and truthful information about services or needs.
• Refraining from sharing or soliciting sensitive information such as financial details outside the Joowal platform.

Failure to comply with these standards may result in account suspension or other disciplinary actions.

6.2 Reporting Violations

If you encounter any violations of Joowal’s Terms or Community Guidelines, you are encouraged to report them by emailing hello@joowal.com.

6.3 Disputes and Cancellations

Joowal encourages buyers and sellers to resolve conflicts directly through open communication. If both parties are unable to reach an agreement, they may contact Joowal’s support team by emailing hello@joowal.com for assistance.

6.4 Content Moderation, Notices, and Appeals

• Joowal is not obligated to proactively monitor user-posted content for legality or compatibility with the Terms. However, Joowal may voluntarily conduct checks to identify illegal or incompatible content and take appropriate action.
• If Joowal determines that a violation of the Terms has occurred, we reserve the right to remove content, suspend accounts, or take other corrective measures.

Appeals Process:

• If Joowal takes action against your account or content, you may file a complaint to appeal the decision. Complaints must be submitted within one week of receiving notice of the decision.
• Complaints should clearly explain why you believe Joowal’s decision should be reversed.
• Joowal will handle complaints in a timely, non-discriminatory, and objective manner, and will reverse decisions if found to be erroneous.

6.5 Proprietary Restrictions

Users acknowledge and agree that all content on the Joowal platform, including but not limited to text, graphics, logos, and code, is the property of Joowal or its licensors. Users may not copy, modify, distribute, or use any of Joowal’s content without explicit written consent.

6.6 Confidentiality

Sellers acknowledge that buyers may disclose confidential information required for the completion of services. Sellers agree to:

1. Treat all such information as highly sensitive and strictly confidential.
2. Not disclose the information to third parties without explicit consent from the buyer.
3. Use the information solely for the purpose of delivering the agreed-upon services.
4. Refrain from copying or reproducing the information without the buyer’s permission.

7. Disclaimer of Warranties

Disclaimer of Warranties

Your use of Joowal, its content, and any services or items obtained through the platform is entirely at your own risk. The platform, its content, and all services or items offered through it are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, except where Joowal has acted with reasonable professional diligence.

Joowal and any persons associated with it make no guarantees or representations regarding:

• The completeness, security, or reliability of the platform.
• The quality, accuracy, or availability of the content or services provided.

Joowal disclaims all liability for any issues arising from reliance on the platform’s functionality, information, or user-provided services, except in cases where such liability cannot be excluded or limited under applicable law.

This disclaimer does not affect any warranties that cannot be excluded or limited by applicable law.

8. Limitation on Liability

Limitation of Liability

Provided that Joowal has acted with reasonable professional diligence, Joowal shall not be held liable for any damages of any kind, under any legal theory, arising out of or in connection with:

• Your use, or inability to use, the platform.
• Any websites linked to Joowal.
• Any content found on the platform or such linked websites.
• Any services or items obtained through Joowal or linked websites.

This includes, but is not limited to, direct, indirect, special, incidental, consequential, or punitive damages, such as:

• Personal injury, pain and suffering, emotional distress.
• Loss of revenue, profits, business, or anticipated savings.
• Loss of use, goodwill, or data.

This limitation of liability applies whether caused by tort (including negligence), breach of contract, or any other cause, even if such damages were foreseeable. This limitation also does not affect any liability that cannot be excluded or limited under applicable law.

9. Pausing Service Listings, Deactivate and Disable Account

9.1 Pausing Service Listings

• Sellers have the option to pause their service listings to prevent receiving new orders. However, sellers must complete all outstanding orders before they can deactivate or disable their accounts.
• If a seller has any incomplete orders, they will not be allowed to deactivate or disable their account until these orders are completed.

9.2 Account Deactivation and Disabling

• Joowal reserves the right to place any account on hold or permanently disable accounts for violations of the Terms, including but not limited to:
  • Low-quality services or deliveries
  • Illegal or inappropriate use of the site or services
• Violation of Joowal's Terms may result in permanent account deactivation or disabling.

9.3 Impact of Account Deactivation or Disabling

• Users with permanently disabled accounts will be prohibited from buying or selling on Joowal. Any content or services associated with these accounts may also be removed from the platform.

9.4 Funds in Disabled or Deactivated Accounts

• If a seller deactivates their account, any remaining funds will be held in the account and can be withdrawn once the account is reactivated.
• If a seller disables their account, they are responsible for withdrawing any remaining funds before disabling their account. Joowal reserves the right to deny any funds if the account is disabled without prior withdrawal, and the seller will no longer have access to these funds once the account is permanently disabled.
• If a seller's account is banned or terminated by Joowal, the management and release of any funds in the seller's account will be at Joowal's discretion.

10. Security Features

10.1 Account Security Options

• Users have the option to enable additional security features on their accounts to protect against unauthorized usage. This may include strong password requirements and other security measures designed to safeguard account information.

10.2 Account Ownership Verification

• In the event of an issue or dispute regarding account ownership, users must be able to verify their account ownership. Verification may require users to provide documentation or other materials requested by Joowal to confirm they are the rightful account owner.

11. General Terms

11.1 Changes to these Terms

• Joowal may make changes to these terms from time to time. When changes are made, Joowal will make the updated version available on the respective page.
• By continuing to use Joowal after changes have been made, you understand and agree that your use of the platform will be treated as acceptance of the updated terms. If you do not agree to the changes, you must deactivate your account.
• Joowal may update these terms due to changes in the site, its policies, services, new technologies, regulatory requirements, security and fraud issues, or other circumstances beyond our control.

11.2 Indemnification

To the fullest extent allowed under applicable law, you agree to defend, indemnify, and hold harmless Joowal, its officers, shareholders, and employees, from any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including attorneys' fees) arising from:

1. Your violation of these Terms, or any other Joowal policies or standards;
2. Your violation of any third-party right, including intellectual property, access rights, property, or privacy rights; and/or
3. Any claim that your services, profile, or use of the site caused harm to a third party, provided Joowal has acted with reasonable professional diligence.

Joowal reserves the right to manage its legal defense at its discretion, even if you are indemnifying Joowal, and you agree to cooperate with Joowal in executing its defense strategy.

11.3 Joowal is Not an Employer

• Joowal is not an employer and is not subject to Malaysian employment law. Sellers are independent contractors and are not considered employees of Joowal.

11.4 Severability

• If any part of these terms is found to be unenforceable, it will be limited to the minimum extent necessary so that the remaining terms remain in full force and effect. The failure of Joowal to enforce any part of these terms does not waive its right to later enforce that or any other part of the terms.

11.5 Entire Agreement

• These terms constitute the entire agreement concerning the subject matter therein and supersede any previous agreements related to the site or services.

11.6 Interpretation

• Any headings, captions, or section titles contained herein, as well as any explanatory or summary columns, are provided for convenience only and do not alter or amend the provisions of these terms. They shall not legally bind Joowal in any way.
